Tinjauan Yuridis terhadap Kedudukan PT.Perorangan Ditinjau dari Undang-Undang Nomor 6 Tahun 2023 tentang Penetapan Peraturan Pemerintah Pengganti Undang-Undang Nomor 2 Tahun 2022 tentang Cipta Kerja

Abstract

Individual Company are a form of legal entity that has just been formed with the passage of Law Number 11 of 2020 concerning Job Creation. The establishment of PT. Individuals Individuals are expected to help business actors, especially for MSME business actors who open legal entities. Therefore, the problem that can be raised is how to regulate PT. Individuals in Indonesia, what are the obstacles and obstacles faced in following the procedures for the establishment and operation of individual PTs in accordance with the applicable regulations in Indonesia, and how does the implementation of Individual Company in Indonesia with Germany and Singapura. The type of research method used is a normative legal research method using a statutory approach and comparative approach. This study uses primary data sources obtained from interviews with sources and secondary data sources from primary legal materials, secondary legal materials, and tertiary legal materials. The data collection technique used is literature study by analyzing various literature and interviews with informant and expert. The conclusion of the results of this study is that the Regulation on the implementation of Individual Company have been regulated in various Laws and Government Regulations. However, in its implementation, the MSE actors of Individual Company experience difficulties in carrying out the implementation of their company due to the absence of a Deed of Establishment of the Company. The corporate organ of Individual Company consisting of only one person raise doubts about large companies to use the services of Individual Company who question how the accountability of Individual Company. Things that can be learn by Individual Company in Indonesia from GmbH and Single-Member Private Limited Company are nominees at the time of company registration; and appoint several directors to assist the company by carrying out the administrative functions of the company so that Individual Company have an efficient corporate organizational structure.
